Dormant companies still get fined for filing late

Even if nothing happened in the company, Companies House still needs accounts every year. Miss the deadline and the penalty is automatic. It doubles if you’re late two years running.

Questions

Does my company count as dormant?

A company is dormant for Companies House when it has had no significant accounting transactions during the financial year. Companies House filing fees, late penalties and money paid for shares when the company was set up don’t count. It’s fine if the company traded in earlier years. Companies House guidance

How long does it take?

We aim to submit the same day once the period has ended and the required information, director approval and payment are complete. Companies House acceptance may take longer. A payment receipt does not confirm acceptance.

I can’t find my authentication code

Companies House posts a replacement code to your registered office. It can take up to 10 working days. Request a new code, or email us for help.

My year hasn’t ended yet

Search anyway to see how your accounts will look. Leave your email and we’ll remind you when it can be filed. You don’t pay until then.

What if it turns out it isn’t dormant?

We’ll tell you before anything is filed. Read our service and refund information, or email us to discuss what you need.
